Service

ExactClose provides software for organizing mortgage QC evidence, computing deterministic checks, managing reviewer workflows, and generating reports. It does not provide legal advice, make lending or underwriting decisions, guarantee agency/investor compliance, independently perform third-party reverification, or replace a customer's written QC plan.

Customer responsibilities

The customer is responsible for authorization to upload and process data, user access, written policies, sampling methodology, reviewer qualifications, final dispositions, legally required notices/consents, retention, investor reporting, and validation of output before reliance.

Permitted use

Do not upload data without authority, probe or bypass security, share credentials, reverse engineer protected components, use the service for unlawful discrimination or automated adverse action, or represent preliminary findings as verified facts.

Subscriptions and usage

Plans renew until cancelled. Review limits apply to unique loan reviews; good-faith reruns of the same loan do not consume another review. One-time pack credits do not expire while the account remains available. Taxes and disclosed provider overages may apply.

Confidentiality and data

Each party protects the other's confidential information. Customers retain their data. The DPA/security exhibit governs customer loan data and prevails on conflicting privacy/security terms.

Availability, warranties, and liability

The final production agreement must state service levels, support, warranty disclaimers, liability cap, excluded damages, indemnities, and regulated-data commitments approved by counsel. This pre-launch text is not a substitute for the executed commercial agreement.

Termination and export

Customers may export reports and supported structured data. Following termination, data is deleted under the applicable retention and backup schedule unless law or contract requires preservation.
